Terms of Service

These Terms of Service (“Terms”) govern access to and use of Pharos, an operating system for home-efficiency installers provided by ProFusion Home Solutions (“Pharos,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization (“Customer”).

1. The Service

Pharos provides pipeline, appointments, dispatch, messaging, calling, territory management, and related features for installer organizations. We may update, improve, or modify the Service over time.

2. Eligibility and accounts

Pharos is a business-to-business platform provisioned by an administrator at a Customer organization. Access is by invitation and provisioning. You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

3. Customer data and ownership

As between the parties, the Customer owns all data it and its Users submit to the Service (“Customer Data”). The Customer grants Pharos a limited license to host, process, and transmit Customer Data solely to provide and support the Service. Pharos processes Customer Data in accordance with our Privacy Policy.

4. Acceptable use

You agree not to:

  • (a) use the Service to violate any law or third-party rights;
  • (b) send unlawful, harassing, or unsolicited communications in violation of applicable rules (see Section 6);
  • (c) attempt to gain unauthorized access to the Service or other accounts;
  • (d) reverse engineer, resell, or provide the Service to third parties except as permitted;
  • (e) interfere with or disrupt the integrity or performance of the Service; or
  • (f) upload malicious code.

We may suspend access for conduct that violates these Terms or poses a security or legal risk.

5. Third-party services and integrations

The Service integrates with third-party services (including Google, Twilio, and others). Your use of those integrations may be subject to the third party's terms. When you connect a Google account, Pharos's access to and use of Google user data adheres to the Google API Services User Data Policy, including the Limited Use requirements, as described in our Privacy Policy. We are not responsible for third-party services we do not control.

6. Communications and telephony compliance

The Service enables Customers to send SMS/MMS messages and place calls to their own contacts. The Customer is solely responsible for obtaining and maintaining all legally required consents from message and call recipients, for honoring opt-out requests, and for complying with all applicable communications laws and regulations (including, where applicable, the TCPA and carrier/10DLC requirements). Pharos provides tools to help but is not responsible for the Customer's communications.

7. Fees and payment

Where the Service is provided for a fee, pricing is as agreed during onboarding (typically per-rep). Fees are due per the agreed billing terms and are non-refundable except as required by law or expressly stated. We may change fees on prospective notice.

8. Intellectual property

Pharos and ProFusion Home Solutions retain all right, title, and interest in and to the Service, including all software, features, and content (excluding Customer Data). No rights are granted except as expressly set out in these Terms. Feedback you provide may be used by us without restriction.

9. Confidentiality

Each party may access non-public information of the other. Each party agrees to protect the other's confidential information with reasonable care and to use it only to perform under these Terms.

10. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues. Our aggregate liability arising out of or related to these Terms will not exceed the amounts paid by the Customer to Pharos for the Service in the twelve months preceding the claim.

12. Indemnification

The Customer will defend and indemnify Pharos against third-party claims arising from the Customer's data, communications to its contacts, or use of the Service in violation of these Terms or applicable law.

13. Term and termination

These Terms apply while you use the Service. Either party may terminate as set out in the applicable order or if the other materially breaches and fails to cure. Upon termination, your right to access the Service ceases; we will make Customer Data available for export for a commercially reasonable period, after which we may delete it, except where retention is legally required. Sections that by their nature should survive (including 3, 8–12, and 15) survive termination.

14. Changes to the Service or Terms

We may modify the Service or these Terms. For material changes to these Terms, we will update the “Last updated” date and provide notice where appropriate. Continued use after changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in New York for any dispute not subject to an agreed alternative dispute-resolution process.
